SEC Form 4 Insider-Trade Alerts
A public company's recent Form 4 insider buy/sell filings as structured data, live from SEC EDGAR, with plain-English context per transaction.
The problem
Investors, fintech dashboards, and research tools tracking corporate insider activity all need the same raw material: a company's Form 4 filings (officers, directors, and large shareholders reporting trades in their own company's stock), turned into structured, queryable data instead of SEC EDGAR's own filing-by-filing HTML interface.
Who it's for
Fintech dashboards, investment research tools, and individual investors or analysts who want a company's recent insider transactions as structured data instead of reading raw filings.
Use cases
- Powering an insider-activity feed or dashboard for a specific ticker or watchlist
- Research: pulling a company's recent Form 4 history programmatically instead of paging through EDGAR
- Flagging a transaction's context — e.g. a routine 10b5-1 plan sale versus an open-market sale — at a glance
What it does
Send a stock ticker or SEC CIK number and get back that company's recent Form 4 transactions: insider name and role, transaction type and size, price, resulting holdings, whether it was made under a pre-scheduled Rule 10b5-1 trading plan, and a short AI-generated note giving plain-English context — explicitly naming a benign explanation (a 10b5-1 plan, tax withholding, an option exercise) whenever the filing data supports one, rather than implying significance it can't support.
Key features
- Live per-request query against SEC EDGAR, never a bundled snapshot
- Role, transaction type, and 10b5-1-plan status all derived directly from the filing's own data, never guessed
- AI context note grounded in the real transaction data, never speculative
- Ticker or CIK lookup, with automatic dot/hyphen share-class handling (e.g. BRK.B / BRK-B)
Pricing
A free tier covers light testing. Paid tiers scale by monthly request volume, with overage priced per additional lookup beyond your plan's included volume.
This output is informational only. It is not investment advice, and it is not a recommendation to buy, sell, or hold any security. Insider transactions reported on Form 4 can reflect many benign, routine reasons — tax planning, portfolio diversification, options expiring, compensation-related withholding, or a pre-scheduled Rule 10b5-1 trading plan set up long before this specific transaction — as well as, in some cases, more significant signals. This API does not and cannot determine which applies to any specific transaction. Verify directly with SEC EDGAR before relying on this for any investment decision.
Only EDGAR’s “recent” filing window is read, and amendments (Form 4/A) are excluded — not a real constraint for a recent-activity alerting use case, but worth knowing if you need a company’s complete historical filing record.
